Terms of Service

1. Agreement to Terms

These Terms of Service ("Terms") form an agreement between you and Stand Chat, Inc., a Delaware corporation ("Stand", "Stand Chat", "we", "us", or "our"), and govern your access to and use of the Stand Chat service (the "Service"), including our website, apps, embeddable chat widget, and API. By accessing or using the Service, you agree to these Terms. If you are using the Service on behalf of a company or other entity, you represent that you have authority to bind that entity to these Terms.

For these Terms, “users” means representatives of our customers who access the Service.

2. Eligibility

You must be at least the age of majority in your jurisdiction to use the Service. If you are using the Service for an organization, you are responsible for ensuring your users are authorized and comply with these Terms.

The Service is available only for business and professional use, including product, customer support, marketing, operations, and related commercial workflows. The Service is not available for personal consumer use.

3. Accounts and Security

You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. Notify us promptly of any unauthorized access or security incident. We may suspend or terminate accounts for security reasons or violations of these Terms.

4. Service Description

Stand Chat provides real-time messaging between website visitors and your users, including AI-assisted responses and an API for session and message management. Visitors may access the chat widget without creating an account, while users authenticate via secure sign-in.

5. Plans, Fees, and Billing

The Service may be offered through free and paid subscription plans. Current plan names, features, usage limits, and pricing are described on the pricing page or applicable order form.

For paid plans, you authorize us (and our payment processor) to charge your payment method for recurring fees, usage-based overages, and applicable taxes. If your payment method fails, we may suspend access until payment is received.

6. Usage Limits

Usage is measured in "sessions," which generally represent a full conversation and end after a period of inactivity. A session is counted only if a visitor sends at least one message. Instruction context limits and other plan limits may apply. We may enforce or adjust limits to protect the Service, prevent abuse, or comply with legal obligations.

7. Acceptable Use

You agree not to:

  • Use the Service to violate any law, regulation, or third-party rights.
  • Send malware, spam, or harmful content.
  • Bypass security, rate limits, or access controls.
  • Interfere with the Service’s integrity or performance.
  • Use content you do not have the right to use.

8. Customer Content

"Customer Content" means data that you, your users, or your visitors submit to the Service, including chat messages and transcripts, uploaded files and knowledge materials, prompts, instructions, and configuration. You retain ownership of Customer Content. You grant us a limited, worldwide license to host, process, transmit, and display Customer Content only as necessary to provide, secure, support, and maintain the Service, follow your instructions, and comply with applicable law. You are responsible for the legality of Customer Content and for obtaining necessary rights and consents.

Stand will not use Customer Content for general product improvement. Stand will not use Customer Content, or permit any subprocessor to use Customer Content, to train, fine-tune, or improve any machine-learning or artificial-intelligence model. Processing Customer Content at inference time to generate requested responses, embeddings, or other Service outputs is not model training.

"Usage Data" means information about how the Service is accessed and used, including page and feature interactions, device and browser information, diagnostic events, account or user identifiers, and session recordings in which text inputs and designated Customer Content areas are masked. Usage Data may be associated with an account or user. Stand may use Usage Data to operate, secure, support, and analyze the Service and to improve its performance and user experience.

Stand does not intentionally include Customer Content in Usage Data. If Stand becomes aware that Usage Data contains Customer Content, Stand will treat that portion as Customer Content and will not use it for general product improvement or model training.

9. AI Features and Outputs

The Service may include AI-generated responses or suggestions. AI outputs are generated based on input and may be inaccurate or inappropriate. You are responsible for reviewing and verifying outputs before using them. You remain responsible for interactions with your visitors and for compliance with applicable laws.

10. Privacy

Our collection and use of personal information is described in our Privacy Policy. You agree to comply with applicable privacy and data protection laws when using the Service, including providing required notices to your visitors. Our Privacy Policy is available at stand.chat/privacy.

If you embed the Stand Chat widget or otherwise collect information from your visitors through the Service, you are responsible for providing any required notices and obtaining any required consents.

You are responsible for the content and privacy practices of your own websites and for how you use chat data collected through the Service.

You are responsible for handling visitor data requests (such as access, deletion, or correction) for data collected on your websites. As the controller of visitor conversations, you direct how that data is processed. Visitors should contact you about those requests. Stand will not search or review Customer Content to identify or verify a visitor and will not disclose Customer Content to a visitor except on your documented instructions or as required by law.

To the extent Stand processes Customer Personal Data on your behalf as a processor or service provider, our Data Processing Addendum applies automatically and forms part of these Terms. No separate signature is required for its general processing terms. A completed, signed copy containing the party and supervisory-authority details required for applicable EU, UK, or Swiss international-transfer terms is available with a Business subscription.

11. Intellectual Property

The Service, including software, design, and content (excluding Customer Content), is owned by Stand Chat and its licensors and is protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service in accordance with these Terms.

Stand is a registered trademark of Stand Chat, Inc. All other trademarks are the property of their respective owners.

12. Third-Party Services

Stand uses service providers to operate the Service. Providers that process Customer Content on our behalf are our subprocessors, and Stand remains responsible for their performance of Stand's contractual data-protection obligations, including any applicable DPA.

The Service may also allow you to enable or connect third-party products and services that you select. Stand does not control and is not responsible for those customer-selected services. You are responsible for reviewing their terms and privacy practices.

13. Availability, Changes, and Support

We may change, suspend, or discontinue the Service or any feature at any time. We aim for reliable service but do not guarantee uninterrupted or error-free operation. Support is provided on a best-effort basis and may include AI-assisted support. Stand does not guarantee any response time, resolution time, uptime, availability, or other service level unless agreed in a separate written agreement signed by Stand and the customer.

14. Term and Termination

These Terms remain in effect while you use the Service. You may stop using the Service at any time. We may suspend or terminate your access if you violate these Terms, if required by law, or to protect the Service and its users.

While your account is active, you may download copies of the chat transcripts available under your configured retention period from the History screen. Cancelling a subscription does not itself delete your account or Customer Content. If you delete your organization account, Stand will promptly delete all Customer Content, including chat transcripts, uploaded knowledge materials, and prompts, from active systems. Residual copies in backups will be deleted through Stand's ordinary backup-retention cycle. Stand may retain limited information where required by applicable law or reasonably necessary to establish, exercise, or defend legal claims. Any retained information will remain protected, will not be used for another purpose, and will be deleted when the applicable reason for retention ends.

15. Disclaimers

The Service is provided "as is" and "as available." To the maximum extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

16. Limitation of Liability

To the maximum extent permitted by law, Stand Chat will not be liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, data, or goodwill. Our total liability for all claims relating to the Service will not exceed the amounts paid by you to Stand Chat in the twelve months before the event giving rise to the claim.

17. Indemnification

You agree to defend, indemnify, and hold harmless Stand Chat and its affiliates from claims and expenses (including reasonable attorneys’ fees) arising from your use of the Service, your Customer Content, or your violation of these Terms.

18. Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to conflict of laws principles. You agree that any dispute will be brought in the state or federal courts located in Delaware, and you consent to their personal jurisdiction.

19. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will provide notice by updating the effective date and, when appropriate, providing additional notice. Continued use of the Service after changes become effective constitutes acceptance of the updated Terms.
